Goodwin Procter’s Leveraged Finance Practice covers a broad range of activities. Our lending attorneys represent all of the major commercial banks doing business in the Northeast, as well as other domestic and international banks, insurance and finance companies, and institutional investors in structuring, documenting and administering credit facilities for borrowers located throughout the country. These include working capital lines, letters of credit, warehouse lending facilities and participations, term loans, “fully-followed” asset based transactions, leveraged leases, revenue bonds, acquisition financings, multi-tranche borrowings, multi-currency facilities, credit enhancements and securitizations.

We represent lenders on individual relationships with borrowers and represent agents and other lenders on large syndicated credit facilities. Our practice frequently involves amendments and restructurings as well as more formal forbearance agreements and workouts. Our lending attorneys also represent mezzanine lenders, keeping us familiar with the full range of intercreditor issues. Goodwin Procter also represents commercial borrowers and private equity sponsors in each of these types of lending transactions.

In the last several years, we have represented our commercial bank clients on approximately 100 credit transactions, with total commitments in excess of $5 billion. The majority of these transactions involve current relationships, in which we continue to be involved regularly in connection with modifications, waivers, restructurings and other amendments. Our industry specialties on lending transactions include financing sports franchises and arenas, telecommunications and other media, real estate investment trusts, and retail, restaurants and other hospitality credits.
